    中国制定新规助经营者厘清依法竞争边界

    　　中新社北京12月19日电 (记者 刘亮)中国国家市场监管总局19日公布新修改的《禁止垄断协议规定》，明确不予禁止的纵向垄断协议需符合的市场份额标准和其他条件，将于2026年2月1日起施行。此举旨在帮助经营者厘清依法竞争边界，加强反垄断合规建设。 　　纵向垄断协议，指同一产业中处于上下游的经营者之间达成的垄断协议，典型形式包括固定转售商品价格、限定转售商品的最低价格，也可能包括限制经销区域、限制经销客户等行为。 　　《中华人民共和国反垄断法》2022年修改后建立一项新制度，规定对市场份额低于一定标准并符合相关条件的经营者，对其达成的纵向垄断协议不予禁止。 　　为明确上述市场份额标准和条件，稳定市场预期，维护市场公平竞争，国家市场监管总局制定出台具体规则：对固定或者限定转售商品价格的纵向协议，经营者在协议期间相关市场的市场份额低于5%，同时协议所涉及商品的营业额低于1亿元人民币的，不予禁止；对其他纵向协议，经营者在协议期间相关市场的市场份额低于15%的，不予禁止，无营业额条件。 　　规则制定过程中，国家市场监管总局借鉴国际经验，并充分考虑中国超大规模市场下企业的商业模式和竞争规律，立足于中国市场数据和产业结构特征，形成更加符合中国经济高质量发展的制度安排。 　　国家市场监管总局指出，设定不予禁止的纵向垄断协议需符合的市场份额标准和条件，明确了认定标准，统一了执法尺度，有助于经营者厘清依法竞争的边界，加强反垄断合规建设。特别是对中小微企业释放了更多灵活发展的空间，有助于进一步激发市场创新活力。(完) 【编辑:张令旗】|dfg|
